(d) On September 20, 2005, Citigroup Inc. announced that Andrew N. Liveris,
President and Chief Executive Officer of The Dow Chemical Company, has been
elected to the Citigroup Board of Directors.
The committee assignment of Mr. Liveris has not been determined at the time of
this filing.
A press release announcing the election was issued on September 20, 2005, a copy
of which is being filed as Exhibit 99.1 to this Form 8-K and which is
incorporated herein by reference in its entirety.
