This dismissal was approved by the Company's Board of Directors. KPMG's audit report on the Company's financial statements for the fiscal years ended December 31, 2004 and 2003 did not contain an adverse opinion or disclaimer of opinion, nor were such reports qualified or modified as to uncertainty, audit scope, or accounting principles. During the two most recent fiscal years and any subsequent interim period preceding September 29, 2005, there were no (i) disagreements with KPMG on any matter of accounting principles or practices, financial statement disclosure, or auditing scope or procedure, which disagreement(s), if not resolved to the satisfaction of KPMG, would have caused it to make reference to the subject matter of the disagreement(s) in connection with its reports, and (ii) "reportable events," as defined in Item 304(a)(i)(v) of Regulation S-K under the Securities Exchange Act of 1934, as amended. A letter from KPMG to the U.S. Securities and Exchange Commission is attached as Exhibit 16.1 to this Form 8-K. During the two most recent fiscal years and any subsequent interim period preceding September 29, 2005, neither the Company nor anyone on its behalf consulted D&T regarding either the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company's financial statements, nor has D&T provided to the Company a written report or oral advice regarding such principles or audit opinion.
