ITEM 4.  CHANGES IN REGISTRANT'S CERTIFYING ACCOUNTANT.

         At a Board of Directors meeting held on July 7, 1999, of which a quorum
was present, the Board of Directors of Central American Equities Corporation
accepted the resignation of Steven J. Gannuscio as its Certified Accountant for
the fiscal years ended December 31, 1997 and 1998.
