ITEM 5. OTHER EVENTS.
On January 20, 2000 Michael Foods, Inc. ("the Company") announced it had
concluded the process of exploring strategic alternatives, including the
possible sale of all, or some, of the Company's businesses, without a
transaction. Additionally, the Company projected fourth quarter 1999 and 1999
diluted earnings per share in excess of analysts' expectations.
