PART III -- NARRATIVE
The Registrant's completion of its third quarter financial statements and the
review of such consolidated financial statements by its independent auditors,
Grant Thornton LLP, are being delayed pending the completion and accounting
analyses of the Registrant's restructuring costs incurred during the third
quarter ending September 30, 2003. As previously disclosed in the Registrant's
Form 10-Q for the quarter ended June 30, 2003, the Registrant initiated a
significant restructuring program in July of 2003, and it was indicated these
costs would be detailed and identified in the third quarter filing.
Within the next 5 calendar days, the Registrant expects the accounting analyses
to be concluded and to complete its consolidated financial statements for the
nine months ended September 30, 2003, receive a satisfactory review from its
independent auditors with respect to the Registrant's consolidated financial
statements, and file with the Securities and Exchange Commission its Quarterly
Report on Form 10-Q.
