Item 5.  Other Events and Regulation FD Disclosure

         IBT Bancorp, Inc. announced on May 30, 2004 that at a meeting of the
Board of Directors held on April 27, 2004 G. Charles Hubscher was appointed to
the Board of Directors of its wholly owned subsidiary, Isabella Bank and Trust
for a term that will expire in April 2005. The full text of the press release is
attached as Exhibit 99.1.
