ITEM 8.01.        OTHER EVENTS.

On February 14, 2005, Mackinac Financial Corporation issued a press release
announcing that federal and state banking regulators terminated all provisions
of the cease and desist order that had been issued to its banking subsidiary,
North Country Bank and Trust, on March 26, 2003, a copy of which is attached
hereto as Exhibit 99.
