      State below in reasonable detail the reasons why Forms 10-K (or 10-KSB),
20-F, 11-K, 10-Q (or 10-QSB), 10-D, N-SAR, N-CSR or the transition report or
portion thereof, could not be filed within the prescribed time period.

      The Registrant has determined that it must delay the filing of its
Quarterly Report on Form 10-QSB for the quarter ending September 30, 2006 ("Form
10-QSB"). The Registrant is working on a response to a comment letter dated
September 14, 2006 from the Securities and Exchange Commission. The Registrant
requires additional time to ensure that the Form 10-QSB incorporates changes
necessitated by that comment letter. The Registrant intends to file the Form
10-QSB within five days of the prescribed due date.

of its Current Reports on Form 8-K filed with the Securities and Exchange
Commission on July 8, 2005 and April 11, 2006 (File No. 000-32887). The
Registrant anticipated that the financials would be filed by the required date,
but was not able to complete them. The Registrant intends to file the financials
as soon as practicable.
