ITEM 5.02 DEPARTURE OF PRINCIPAL OFFICER; APPOINTMENT OF PRINCIPAL OFFICER


Effective January 30, 2007, Chris Leach resigned his position as Chief Executive
Officer of Loyalty Magic, a division of Catuity Inc. (the "Company"). Mr.
Leach's responsibilities will be immediately assumed by Graham McStay, who will
serve as Loyalty Magic's Chief Executive Officer and Managing Director. Mr.
McStay has been running the day-to-day operations full-time since January 2,
2007 in conjunction with Mr. Leach. Mr. Leach will remain employed by the
Company until February 28, 2007 to assist with the transition. Mr. Leach plans
to rejoin his family's business in Sydney.

From March of 2005 until today Mr. McStay, 40, was the Operations Manager for
Loyalty Magic. From September 2002 until Mr. McStay joined Loyalty Magic, he was
the National Customer Service & Sales Manger for Retail Decisions, the largest
stored value provider in Australia. From March 2001 through August 2002 Mr.
McStay was the Customer Service and Sales Manager for the Centre for Adult
Education (CAE).
