On May 31, 1995, the registrant signed a letter of intent to acquire the common stock of Mericon Child Safety Products, a division of the Denshaw Corporation, Inc., for $225,000 cash and 250,000 shares of Selfix, Inc. common stock. The value of the stock will be based on the closing price on the day the transaction is completed. There was no material relationship between Mericon Child Safety Products, or Denshaw Corporation, Inc. or any of its affiliates, directors or officers or the Registrant or any of its affiliates, directors or officers.
