(OTCBB: JANX) announced today that a definitive merger agreement has been signed providing for mergers of Janex, Futech Interactive Products, Inc., Trudy Corporation, Fundex Games, Ltd., and DaMert Company into a newly organized Delaware corporation ("New Futech") and a subsidiary thereof. The agreement provides that each outstanding share of Janex common stock will be converted into approximately .0333 shares of common stock of the surviving corporation in the mergers. The mergers are subject to a number of conditions, including shareholder approval by all of the merging companies. The transaction may be subject to taxation under federal law to the minority stockholders of Janex.
