(the "Company") entered into an underwriting agreement for the public offering of $600 million of its 7 3/8% Senior Notes due 2010 (the "Notes"). The Notes are to be issued under an Indenture dated as of September 10, 1997 between the Company and The Chase Manhattan Bank, as successor to Texas Commerce Bank National Association, as Trustee. Closing of the issuance and sale of the Notes is scheduled for February 9, 2001. Further information is included in Exhibits 1.1, 4.1 and 4.2.
