OTHER EVENTS On November 29, 1994, Apache Corporation ("Apache") entered into a memorandum of understanding with Texaco Exploration and Production Inc. ("Texaco"), which is attached hereto as Exhibit 99.1 and incorporated herein by reference, outlining the terms under which Apache will acquire Texaco's interest in over 300 oil and gas fields for approximately $600 million, subject to adjustments under certain circumstances. Apache issued a press release, dated November 29, 1994, which is attached hereto as Exhibit 99.2 and incorporated herein by reference. On December 22, 1994, Apache and Texaco signed a definitive Purchase and Sale Agreement, which is attached hereto as Exhibit 99.3 and incorporated herein by reference.
