Item 4. Terms of the Transaction. Item 4 of the Schedule TO is hereby amended and supplemented to add the following: The Offer to Exchange expired at midnight, Eastern Time on September 4, 2002. Pursuant to the Offer to Exchange, Tellium, Inc. (the "Company") accepted for exchange options to purchase 13,479,441 shares of common stock, representing approximately 91% of the options that were eligible to be tendered in the offer.
