Other Events - ------- ------------ On May 15, 1996, the Board of Directors of Lufkin Industries, Inc. (the "Company") declared a dividend distribution of one right (the "Rights") for each outstanding share of common stock, $1.00 par value per share, of the Company to shareholders of record at the close of business on May 31, 1996. The terms of the Rights are set forth in a Rights Agreement, and Exhibits thereto (the "Rights Agreement"), entered into between the Company and Lufkin National Bank, as Rights Agent, dated as of May 15, 1996, attached hereto as Exhibit 4.01. Except as set forth in the Rights Agreement, each Right, when exercisable, entitles the registered holder thereof initially to purchase from the Company one share of Common Stock of the Company, at an exercise price of $75.00, subject to adjustment.
