outstanding 10% Senior Subordinated Notes due 2007 of the Company (the "Old
Notes") are not immediately available or if the procedure for book-entry
transfer cannot be completed on a timely basis or time will not permit all

"Exchange Agent") prior to 5:00 p.m., New York City time, on the Expiration Date
