the prescribed time period.
The Part III information was going to be included in Registrant's proxy
statement filed within 120 days of the end of the fiscal year. It was
anticipated at the time of the 10-K filing that the annual meeting would be
routine and the definitive proxy statement could be filed within the 120 day
period. However, the Registrant is now completing a financing which will require
stockholder approval and the proxy statement can only be filed in preliminary
form by the due date.
