The Series A Notes and the Series A Guarantees are to be issued pursuant to an Indenture dated July 16, 1997 of the Note Issuers, Subsidiary Guarantors and State Street Bank and Trust Company, as Trustee (the "Series A Indenture"). The Series B Notes and the Series B Guarantees are to be issued pursuant to an Indenture dated July 16, 1997 of the Note Issuers, Subsidiary Guarantors and State Street Bank and Trust Company, as Trustee (the "Series B Indenture" and, together with the Series A Indenture, the "Indentures").
