              IN CERTAIN NEGOTIATIONS WITH ITS LENDING INSTITUTIONS. IN
              CONNECTION THEREWITH, THE REGISTRANT'S CONSOLIDATED FINANCIAL
              STATEMENTS FOR SUCH QUARTERLY PERIOD HAVE NOT BEEN COMPLETED NOR
