The Company's Form 10-KSB for the fiscal year ended September 30, 2001
could not be filed within the prescribed time period because the Company's audit
committee experienced unforeseen delays in completing its review of the
financial statements to be included with the filing, and its discussions with
the Company's independent auditors.
