(NASDAQNM: OMNI), received a Nasdaq Staff Determination on May 28, 2002 indicating that the Company failed to comply with the minimum bid price requirement for continued listing set forth in Nasdaq Marketplace Rule 4450(a)(5). Therefore, its securities are subject to delisting from the Nasdaq National Market. The Company has requested a hearing before the Nasdaq Listing Qualifications Panel to review the Staff Determination. The Company will present evidence at the hearing to regain compliance with the minimum bid price requirement, which includes seeking stockholder approval for a reverse stock split. However, there can be no assurance that the Panel will grant the Company's request for continued listing. The Company has been advised by Nasdaq that pending completion of the appeal process, its stock will continue to be listed on the Nasdaq National Market.
