As of October 15, 2002, the auditors have not completed the review of the
financial statements or the Form 10-QSB due to certain accounts not being
reconciled thus they are unable to complete the fieldwork.
The Registrant believes that the review of the financial statements and the Form
10-QSB as of and for the three months ended August 31, 2002 can be completed and
that the Form 10-QSB report can be filed not later than October 20, 2002.
