ITEM 8.01 OTHER EVENTS
On February 1, 2006, Land O'Lakes, Inc., (the "Company"), issued a
press release announcing its decision to close its Greenwood, Wisconsin cheese
manufacturing facility. A copy of the Company's press release is attached hereto
as Exhibit 99.1.
