Certain of the information necessary for the company to prepare the
financial statements to be included in its Form 10-K for the fiscal year ended
December 31, 2005 and complete the Management's Discussion and Analysis of
Financial Condition and Results of Operations section is presently not
available. The Company is in the process of preparing its Annual Report on Form
10-K for the year ended December 31, 2005 and believes it will be filed with the
Commission on or before the fifteenth calendar day after the prescribed due
date.

thereto must be completed and filed with the Securities and Exchange
Commission, Washington, D.C. 20549, in accordance with Rule 0-3 of the
General Rules and Regulations under the Act. The information contained in or
filed with the form will be made a matter of public record in the Commission
