Statement of Cerion Technologies Inc. (the "Company") because the Company's
Registration Statement No. 333-2590 on Form S-1 has not yet become effective.
The Company expects to file a new Form 8-A Registration Statement, identical to
the above-referenced Form 8-A Registration Statement, on May 20 or 21, 1996, or
as soon thereafter as the above-referenced Form 8-A Registration Statement has
been withdrawn.
