ITEM 5.02 DEPARTURE OF DIRECTOR
Effective September 28, 2004, Donald Krause resigned from the Board of Directors
of Enesco Group, Inc. Mr. Krause's resignation was due to his joining another
company board that created a potential conflict with his duties at Enesco and
was not due to any disagreement with the Company.
Anne-Lee Verville, Chairman of the Board, will serve as Interim Chair of the
Audit Committee and the designated "financial expert" under New York Stock
Exchange rules.
