Item 3.01         Notice of Delisting or Failure to Satisfy a Continued Listing
                  Rule or Standard; Transfer of Listing.

         On October 17, 2005, Whitehall Jewellers, Inc. (the "Company") received
notification from the New York Stock Exchange (the "NYSE") that the Company was
not in compliance with the NYSE continued listing standards because its average
market capitalization had been less than $25 million over a consecutive 30
trading-day period. The Company expects that its common stock will be delisted
from the NYSE.

         Beginning on October 24, 2005, the NYSE will make available on its
consolidated tape an indicator, ".BC," to reflect that the Company is below the
NYSE's quantitative continued listing standards.
