ITEM 2.02 - RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On April 17, 2006, Source Interlink Companies, Inc. (the "REGISTRANT")
issued a press release describing selected financial results of the Registrant
for the fiscal year ended January 31, 2006. Also, on April 17, 2006, the
Registrant held its fourth quarter earnings conference call. The press release
and transcript of the fourth quarter earnings conference call are attached
hereto as Exhibit 99.1 and Exhibit 99.2, respectively. Pursuant to General
Instruction B.2 of Form 8-K, the information furnished in this Item 2.02 and in
Exhibits 99.1 and 99.2 shall not be deemed to be "filed" for purposes of Section
