Item 5. OTHER EVENTS.
On December 20, 2000, Hotelworks.com, Inc., a New York corporation (the
"Registrant"), filed a press release to announce that the Registrant
successfully negotiated and executed an Amended and Restated Agreement with HSBC
Bank USA. A copy of the press release is attached hereto as Exhibit 99.1.
