The exchange ratio is 1.684 shares for each Centura share. The acquisition will be accounted for under the purchase method and estimated goodwill of approximately US$1.4 billion will be amortized over 20 years. There is a 19.9% lock-up with a break-up fee. Consistent with our stated objective, the deal is expected to be accretive to cash EPS in year 2, that is 2002, with less than 1% dilution in 2001. On a GAAP EPS basis dilution is expected to be 2% in 2001, while our EPS growth objective of 10 to 15% for 2001 did not change as a result of the acquisition. These numbers assume the repurchase of 20% of the shares issued in the transaction by the end of the first full fiscal year, subject to approval of OSFI, the Canadian regulator.
