                                    NARRATIVE

State below in reasonable detail the reasons why the Form 10-K, 10-KSB, 11-K,
20-F, 10-Q, 10-QSB, N-SAR, or the transition report or portion thereof, could
not be filed within the prescribed time period. (Attach extra sheets if needed).

         The Company's Annual Report on Form 10-KSB for the year-ended December
31, 2001 cannot be filed within the prescribed time period without unreasonable
effort or expense because of the Company's financial condition and its
corresponding filing on March 22, 2002 of a voluntary petition for relief under
Chapter 11 of the United States Bankruptcy Code in the United States Bankruptcy
Court for the Middle District of Florida Case No. (02-05461-8G1). While the
Company currently intends to file its Form 10-KSB within fifteen calendar days
provided sufficient debtor-in-possession financing becomes available, there can
be no assurance that such financing will become available and that the 10-KSB
will be filed by such date.

                                     ANNEX A

         The Company's consolidated net loss for the year ended December 31,
2000 was $1,916,197 (audited). The consolidated net loss for the nine months
ended September 30, 2001 was $3,707,554 (unaudited) and the consolidated net
loss for the year ended December 31, 2001 is expected to be approximately $4.3
million (unaudited).
