ITEM 5. OTHER EVENTS.
On March 18, 1999 the Registrant announced that it has signed a
definitive agreement to acquire Tekkote Corp., a manufacturer of coated
and printed products for use in packaging and related fields. The
acquisition is expected to be completed during the second quarter. The
terms of the transaction were not disclosed.
Details are contained in the Press Release, issued March 18, 1999 filed
as Exhibit 99 hereto and incorporated herein by reference.
