OTHER EVENTS. On June 3, 1999, The Arnold Palmer Golf Company (the "Company") entered into an Agreement and Plan of Merger (the "Merger Agreement") by and among the Company, APGC Holdings Company, Inc. (the "Parent") and APGC Acquisition Corp. ("Merger Sub"). The Merger Agreement contemplates that Merger Sub will merge with and into the Company and that the Company will be the surviving corporation (the "Merger"). On the effective date of the Merger, each share of the Company's outstanding common stock held by persons other than Parent or its affiliates will be converted into the right to receive $1.20 in cash. The obligations of each party to close the Merger are subject to the approval of the Merger Agreement by the requisite vote of the shareholders of the Company as well as certain other customary conditions.
