ACQUISITION OR DISPOSITION OF ASSETS On July 20, 2001, Gum Tech International, Inc. (the "Company") sold its chewing gum and related confectionery product assets to the Wm. Wrigley, Jr. Company in exchange for $25 million in cash. In connection with this transaction, the Company also sold 200,000 shares of its common stock to the Wm. Wrigley, Jr. Company at a price of approximately $7.50 per share. The Company and Wrigley also have entered into royalty agreements providing for royalty payments to the Company based on the future sales of certain gum products for a fixed period of time if those products are developed and marketed by the Wm.
