ITEM 3. ACQUISITION OR DEPOSITION OF ASSETS
On March 14, 1996 Registrant entered into a definitive merger agreement to
merge with CitNat Bancorp, Inc., Urbana, Ohio. Refer to attached exhibit which
details the merger.
