ITEM 5. OTHER EVENTS

On July 8, 1997, FirstFederal Financial Services Corp ("FirstFederal")
issued the press release included as Exhibit 99 to this report and incorporated
by reference herein, announcing the purchase of Summit Bancorp and the purchase
of Alliance Corporate Resources, Inc. In addition, FirstFederal also announced
that its conversion to a bank holding company and the conversion of its
subsidiary, First Federal Savings and Loan Association of Wooster, to a national
bank are complete. The Bank's new name is Signal Bank, N.A.
