ITEM 5. OTHER EVENTS
On October 24, 2001 the Registrant issued a press release announcing its
2001 third quarter earnings. Portions of such press release were filed as
Exhibit 99.1 to a Form 8-k filed October 24, 2001.
The Company held a conference call with the financial community on
October 24, 2001 to discuss the Company's third quarter financial results.
During the call, Peter Scott, Executive Vice President and Chief Financial
Officer, clarified that the Company's earnings guidance of $3.35 to $3.45 per
share for 2001 is for operating earnings, before any non-recurring charges.
