the prescribed time period.
The Registrant has not yet completed its review of its consolidated financial
statements for the quarter ended December 31, 2000. The Registrant's management
and accounting department require additional time to complete such review but
expect to complete such review within the next few days and as a result expect
to file the Form 10-Q within five days of the filing deadline.

The company recorded revenues of approximately $374,000 in the quarter
ended December 31, 2000 as compared to $575,000 in the corresponding period
in fiscal 1999 and a net loss of approximately 2,076,000 as compared to a
net loss of $1,703,000 in fiscal 1999.
