Item 5.	Other Events

	On June 3, 1996, in SMILEY V. CITIBANK (SOUTH DAKOTA), N.A., the
United States Supreme Court unanimously held that the term "interest" in 
12 U.S.C. Section 85 includes late payment fees permissible under the 
laws of a national bank's home state.  Thus, a national bank that issues 
credit cards can charge late fees lawful under its home state law to a 
cardholder in a state where such charges would be unlawful if charged by 
a bank in that state.  The Registrant anticipates that the two cases in 
Pennsylvania in which it has been named as a defendant, alleging that 
Registrant (among others) may not charge to Pennsylvania cardholders 
certain fees lawful under Delaware law but unlawful under Pennsylvania 
law, will be dismissed.
