                         FINAL AMENDMENT TO TENDER OFFER

This Tender Offer Statement on Schedule TO relates to the offer (the "Offer") by
SCM Special Fund, LLC; MPF-NY 2007, LLC; MPF Badger Acquisition Co., LLC; MP
Falcon Fund, LLC; MPF DeWaay Premier Fund 3, LLC; MPF Flagship Fund 12, LLC; MPF
Senior Note Program I, LP; MPF Special Fund 8, LLC; MPF Acquisition Co. 3, LLC;
MacKenzie Patterson Special Fund 7, LLC; MacKenzie Patterson Special Fund 5,
LLC; MacKenzie Patterson Special Fund 6, LLC; MacKenzie Patterson Special Fund
6-A, LLC; and MacKenzie Patterson Fuller, LP (collectively the "Purchasers") to
purchase Units of limited partnership interest (the "Units") in Oxford
Residential Properties I (the "Partnership"), the subject company, at a purchase
price equal to $225 per Unit, less the amount of any distributions declared or
made with respect to the Units between April 30, 2007 (the "Offer Date") and
June 1, 2007 (the "Expiration Date"), upon the terms and subject to the
conditions set forth in the Offer to Purchase dated April 30, 2007 (the "Offer
to Purchase") and the related Letter of Transmittal.

The Offer resulted in the tender by unitholders, and acceptance for payment by
the Purchasers, of a total of 164 Units. Upon completion of the Offer, the
Purchasers held an aggregate of approximately 185 Units, or approximately 0.78%
of the total outstanding Units. These shares were allocated among the Purchasers
as follows:

SCM Special Fund, LLC - 82 Units; MPF-NY 2007, LLC - 16 Units; and MP Falcon
Fund, LLC - 66 Units.
