the corresponding period for the last fiscal year will be reflected by the
earnings statements to be included in the subject report or portion
thereof?

If so, attach an explanation of the anticipated change, both narratively
and quantitatively, and, if appropriate, state the reasons why a reasonable
estimate of the results cannot be made.
The consolidated net loss for the Six months ended 07/31/02 is anticipated to be
approximately $137,600, which represents a decrease in loss of approximately
$80,000(approximately 36.8%) from the net loss of $217,600 for the Six months
ended 07/31/01. We believe that this increase in the results of operations was
due primarily to:
(i) an increase in license and maintenance fees of approximately $7,600 and a
decrease in consulting fees of approximately $4,900;
(ii) a decrease in expenses of approximately $71,300, primarily due to decreased
general and administrative expenses; and
(iii) an increase in other income of approximately $6,000.
The consolidated net loss for the Quarter ended 07/31/02 is anticipated to be
approximately $56,800 which represents a decrease in loss of approximately
$5,500 (approximately 8.8%) from the net loss of $62,300 for the Quarter ended
07/31/01. We believe that this increase in the results of operations was due
primarily to:
(i) a decrease in license and maintenance fees of $8,700 and a decrease in
consulting fees of $3,200;
(ii) a decrease in expenses of approximately $16,400, primarily due to decreased
general and administrative expenses; and
(iii) an increase in other income of approximately $1,000.
