ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS;
ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.
(b) Effective September 30, 2004, Mr. H. Jay Skelton
resigned his position as a director of the Company due to other
demands on his time.
None of the circumstances described in paragraph (a) of the
Instructions to Item 5.02 of Form 8-K are applicable to Mr.
Skelton's resignation.
