PART III     NARRATIVE

Our Report on Form 10-QSB for the quarter ended June 30, 2000, is
due to be filed on August 14, 2000.  As of August 11, 2000, the
unaudited interim financial statement is not yet complete
because we have not completed our interim financial statements,
due to demands on our executives caused by closing the recent
purchase of the assets of Digital Wireless Services, Inc.
