         State below in reasonable detail the reasons why Form 10-K, 20-F, 11-K,
10-Q, N-SAR, or the transition report or portion thereof could not be filed
within the prescribed period.

                  Subsequent to the quarter ended June 30, 2001 the Company has
         experienced accounting personnel related issues that have included the
         replacement of the Controller and most recently the extended illness of
         the Chief Financial Officer. As a result, the Company has suffered
         delays in closing its books for the quarter ended June 30, 2001 and in
         the preparation of information contained in the 10-Q. These delays
         could not have been avoided without unreasonable effort or expense.

                  In the quarter ended June 30, 2000, the Company recorded a net
         loss from operations of $914,000 on sales of $3,376,000. The Company
         recorded net sales for the June 30, 2001 quarter of approximately
         $723,000, representing a decrease of 78.6% over June 30, 2000 quarter,
         and a net loss from operations of approximately $800,000. These amounts
         are approximate, and may change significantly as the Company completes
         its quarterly financial statements for the period ended June 30, 2001.
