ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS;
APPOINTMENT OF PRINCIPAL OFFICERS.

         Effective on September 6, 2005, the employment of Jim Flowers, Chief
Operations Officer of AirGate Technologies, Inc., a subsidiary of the
registrant, was terminated.
