ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS;
          APPOINTMENT OF PRINCIPAL OFFICERS.

On July 20, 2006, Christopher Davie resigned as a Director of the Company,
citing increasing responsibilities in his other ventures. There was no
disagreement between the Company and Mr. Davie on any issue.
