As of July 17, 2006, Amaru, Inc., a Nevada corporation (the "Company") commenced its private placement of 2,000,000 shares of common stock, par value $0.001 per share, at a purchase price of $1.50 per share for a total purchase price of $3,000,000 to accredited investors only. As of the date hereof, the Company closed its private placement. The Company raised a total of $180,252 by issuing 120,168 shares at $1.50 each. The Company intends to have additional private placements of its equity in the future. The shares were offered and sold by the Company to investors whom the Company had reasonable grounds to believe were "accredited investors" within the meaning of Rule 501 of Regulation D under the Securities Act of 1933, as amended (the "Securities Act"). The issuance of the shares is believed to be exempt from the registration requirements of the Securities Act by reason of Section 4(2) of the Securities Act and the rules and regulations, including Regulation D and/or Regulation S thereunder, as transactions by an issuer not involving a public offering.
