1.01     Entry into a Material Definitive Agreement

         On October 3, 2006, the Board of Directors of Ingen Technologies, Inc.
("Ingen") passed Resolution 2006.9 authorizing company Secretary Thomas J.
Neavitt to sign, on behalf of Ingen, an employment agreement with Scott R. Sand.
Mr. Sand has been the chief executive of Ingen since the merger with Creative
Recycling Technologies, Inc. in March of 2004. The employment agreement is for a
5 year period with Mr. Sand as President and Chief Executive Officer. Resolution
2006.9 and the employment agreement are included herewith as exhibits.
