ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS;
APPOINTMENT OF PRINCIPAL OFFICERS.
On January 5, 2007, the X-Change Corporation (the "Company"), issued a
press release announcing that Charles Stidham has been named interim Chief
Executive Officer ("CEO") of the Company, effective as of January 5, 2007. Mr.
Stidham replaces Michael L. Sheriff.
A copy of the press release is filed herewith as Exhibit 99.1.
ITEM 7.01. REGULATION FD DISCLOSURE.
A copy of the press release announcing the temporary replacement of Mr.
Sheriff by Mr. Stidham as CEO of the Company is attached as Exhibit 99.1 and is
hereby incorporated by reference to this Item 7.01.

7.01 of Form 8-K. In accordance with General Instruction B.2 of Form 8-K, the
