ITEM 5.02 DEPARTURE OF DIRECTORS OF PRINCIPAL OFFICERS;
ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL
OFFICERS
Effective on April 2, 2007, Bee Leng Ho is stepping down as Chief Financial
Officer of Amaru, Inc., a Nevada corporation (the "Company"), however, she will
continue to serve on the Company's Board of Directors as the Company's director.
The Company has not appointed a new Chief Financial Officer. In the meantime,
Colin Binny, the Company's CEO will be acting as the Company's interim CFO.
The Company expects to find a new CFO within the next month.
